Is it a must for a company to be audited? +

Yes, a Hong Kong limited company is required by the Hong Kong Companies Ordinance to prepare statutory audited financial statements every year. However, audit is not mandatory for Hong Kong sole proprietorship and partnership, and companies incorporated in certain countries depends on the requirements of respective jurisdictions.

What are the tax filing obligations as a business owner? +

HKIRD will normally issue profits tax return to a company around 18 months after its incorporation date. The company needs to return its first profits tax return to HKIRD within 3 months upon receipt. For subsequent years, HKIRD may issue profits tax return every year or once in every 3 to 4 years. The company is required to file the profits tax return to HKIRD within 1 month or an agreed extended date to avoid any potential penalty.

What are the pros and cons of incorporation of a limited company? +

Shareholders of a limited company can limit their liabilities up to their contribution of share capital, whereas there is for sole proprietorship and partnership, business owners have unlimited liability. In general, better brand and image is perceived for a limited company. However, a limited company needs to comply with more regulatory requirements such as performing annual audit and submission of annual return to Companies Registry.

What are the deliverables of audit services? +

Signed audited financial statements will be prepared and 2 set of original signed audited financial statements will be returned to you on the completion of audit. If you also engage us for tax services, we will submit the audited financial statements together with the profits tax return and profits tax computation to Hong Kong Inland Revenue Department on your behalf.

What are the deliverables of tax services? +

We will help to perform the profits tax computation and completed profits tax return and submit to HKIRD on your behalf. We will also help to complete and submit the employer’s return on remuneration and pensions. As tax representative of your company, we will help to liaise with HKIRD for extension of filing of tax return and other tax administrative affairs. Handling tax queries received from HKIRD will be outside our normal scope of services but the service can be provided upon request.

What are the deliverables of company formation services (Hong Kong limited company)? +

Certificate of incorporation, Business registration certificate, Share certificate, Articles of association, 2 company chops – small round chop and authorised signature chop, Registers of directors, secretaries, members, debenture holders and significant controllers.
